Commercial License Agreement for FieldTimeAg ("Field Time Ag") Software

By purchasing and using this software, you agree to the following terms:

1. License Grant:

Subject to your payment of applicable subscription fees and compliance with this Agreement, you are granted a non-exclusive, non-transferable, revocable license to use the software for personal or internal business purposes only during your active subscription term. The license automatically terminates if your subscription expires or is canceled and does not grant any perpetual rights to the software.

2. Restrictions:

You may not redistribute, sublicense, sell, or share the software, in whole or in part, without explicit written consent from the copyright holder.

Except as permitted by applicable open-source licenses included with this software, you may not modify, reverse engineer, decompile, or disassemble the proprietary portions of the software.

You may not use the software in any way that violates applicable laws or regulations.

3. Ownership:

The software and all intellectual property rights associated with it, including but not limited to the software, documentation, design, algorithms, and related materials, remain the exclusive property of the copyright holder. This Agreement does not transfer ownership of the software.

4. Termination:

Your right to use the software may be terminated if you violate any of the terms of this license. Upon termination, you must cease using the software and destroy all copies.

5. Warranty Disclaimer:

THIS SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

While the software is intended to assist with agricultural planning, any outputs or results it generates - including time, cost, yield, equipment, or resource estimates - are based solely on user-provided inputs and assumptions. These results are not guaranteed and should not be relied upon as exact predictions or professional advice.

You are solely responsible for verifying the accuracy, applicability, and suitability of any estimates, recommendations, or outputs produced by the software.

6. Limitation of Liability:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COPYRIGHT HOLDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ECONOMIC LOSS, ARISING OUT OF OR RELATED TO THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL LIABILITY OF THE COPYRIGHT HOLDER FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE.

7. Open Source Components:

The full text of the applicable open-source licenses is included in the THIRD_PARTY_NOTICES file distributed with this software.

This software includes components licensed under open-source licenses, including but not limited to:

- Leaflet (MIT License)
- NetTopologySuite (MIT License)
- Newtonsoft.Json (MIT License)
- ProjNET (GNU Lesser General Public License v2.1)
- GeoAPI (BSD 3-Clause License)

These components are licensed separately under their respective open-source licenses and are not governed by the proprietary terms of this Agreement.

Users are permitted to replace or modify LGPL-licensed components (such as ProjNET.dll) as required by their license terms.

8. Government Data Notice

This software may access imagery provided by the United States Geological Survey National Map. Such imagery is generally public domain data provided by the U.S. government. Users are responsible for complying with applicable terms of use when accessing such services.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.

10. Entire Agreement

This Agreement constitutes the entire agreement between you and the copyright holder regarding the software and supersedes any prior or contemporaneous understandings.

By installing or using the software, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
