Terms of Service

Field Time Ag (“we”, “us”, or “our”)

Effective Date: July 17, 2026

By accessing or using the Field Time Ag web application, website, APIs, or related services (collectively, the “Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

1. Service Description

Field Time Ag provides agricultural planning, operational estimation, and productivity tools through a web-based software platform.

The Service may include:

• Field and map-based planning tools
• Operational and productivity estimates
• Data visualization and reporting
• API and third-party integrations (where available)

All outputs are estimates based on user-provided inputs and assumptions.

2. Eligibility and Accounts

To use certain features of the Service, you must create an account.

You agree to:

• Provide accurate and complete information when creating and maintaining your account
• Maintain the confidentiality and security of your login credentials
• Accept responsibility for all activity performed through your account
• Notify us promptly of any unauthorized access, suspected security issues, or misuse of your account

Account Use and Subscription Scope

Each subscription is granted to and intended for use only by the specific individual, farm operation, company, cooperative, branch, location, or organizational unit identified at the time of subscription (the “Subscribed Organization”).

The Subscribed Organization may allow its authorized employees, contractors, operators, and representatives to access and use the Service solely for legitimate business purposes on behalf of the Subscribed Organization and within the scope of the applicable subscription.

The Subscribed Organization is responsible for ensuring that all users accessing the Service through its subscription are authorized users acting on behalf of the Subscribed Organization. The Subscribed Organization remains responsible for all activity performed by such users.

A subscription may not be shared, transferred, sublicensed, resold, or otherwise made available to any unauthorized person or entity. This includes, but is not limited to:

• Customers, clients, members, or other third parties of the Subscribed Organization
• Unrelated individuals or businesses
• Separate farm operations or business entities
• Other branches, locations, divisions, subsidiaries, affiliates, or organizational units of the same company that are not included within the applicable subscription
• Any other organization or entity that is not the Subscribed Organization

A separate subscription or written agreement with Field Time Ag is required for any additional farms, locations, branches, business units, or organizations that require independent access to the Service or are not included within the scope of the existing subscription.

You may not share account credentials or permit access to the Service in a manner that allows multiple separate organizations, operations, locations, or entities to use a single subscription unless expressly authorized by Field Time Ag.

We may suspend or terminate accounts that violate these Terms, involve unauthorized access, are used outside the applicable subscription scope, create security risks, or are used in a manner that may harm the Service or other users.

3. Subscription Access License

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during an active subscription term. No ownership rights in the Service, software, or underlying technology are transferred to you under this Agreement.

No ownership rights are transferred to you under this Agreement.

4. Subscriptions, Billing, and Payment

Some portions of the Service require a paid subscription.

• Fees are billed in advance and may renew automatically
• Payments are processed by third-party payment processors (e.g., Stripe)
• We do not store full payment card information
• Pricing and subscription terms may change with notice

Failure to pay may result in suspension or loss of access.

5. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or attempt to extract source code
• Copy, resell, sublicense, or redistribute the Service without permission
• Use the Service for illegal, fraudulent, or harmful activities
• Interfere with system integrity or security
• Use automated scraping or excessive API requests without authorization
• Attempt unauthorized access to other user accounts or data

We reserve the right to investigate and enforce violations.

6. User Data

You retain ownership of all data you input into the Service (“User Data”), including maps, field information, and operational inputs.

By using the Service, you grant us a limited license to:

• Store and process User Data
• Use it to provide and maintain the Service
• Generate outputs and improve reliability

We do not sell User Data.

7. Data Accuracy and User Responsibility

You are solely responsible for:

• Verifying all outputs and estimates
• Ensuring input data accuracy
• Determining suitability for operational, financial, or agronomic decisions

The Service is a decision-support tool only and does not replace professional judgment.

8. Third-Party Services and Integrations

The Service may integrate with third-party services including:

• Mapping and geospatial providers
• Cloud hosting providers
• Payment processors
• Enterprise agricultural systems and APIs

We are not responsible for third-party availability, data accuracy, or performance.

9. Intellectual Property

All rights, title, and interest in the Service (including software, design, features, and documentation) are owned by Field Time Ag and protected by intellectual property laws.

You may not:

• Copy or modify the Service
• Create derivative works
• Remove proprietary notices
• Use our branding without permission

Open-source components are governed by their respective licenses.

10. Beta and Development Features

From time to time, we may offer beta, experimental, or early-access features.

These features:

• May be incomplete or unstable
• May change or be removed at any time
• Are provided without warranties

Use of beta features is at your own risk.

11. Service Availability

We do not guarantee uninterrupted or error-free operation of the Service.

• Modify or discontinue features at any time
• Perform maintenance or updates without notice
• Experience downtime or service interruptions

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee accuracy of outputs, including agricultural or operational estimates.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

14. Suspension and Termination

We may suspend or terminate access to the Service at any time if:

• You violate these Terms
• Payment is not received
• We are required to do so for legal, security, or operational reasons

Upon termination:

• Your right to use the Service ends immediately
• We may retain data as required by law or legitimate business purposes

15. Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you agree to its terms.

16. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after updates constitutes acceptance of the revised Terms.

17. Governing Law

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Field Time Ag regarding the Service.
